Terms of Service

1. Acceptance of Terms

By accessing or using KernelAg ("the Service"), operated by KernelAg ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

KernelAg is a web-based farm management platform providing grain contract tracking, break-even calculators, crop insurance tools, farm planning, AI-powered assistance, and related agricultural software tools.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must be at least 18 years old to use the Service.

4. Subscriptions and Billing

Paid plans are billed monthly or annually as selected at the time of purchase. Payments are processed through Stripe. You may cancel your subscription at any time; access continues until the end of the current billing period. Refunds are not provided for partial billing periods.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with third parties
  • Upload malicious code or interfere with the Service's operation

6. Your Data

You retain ownership of all data you enter into KernelAg, including grain contracts, field plans, cost records, and other farm data. We do not sell your data to third parties. See our Privacy Policy for details on how we handle your information.

7. AI-Generated Content

The Farm Assistant AI and other AI features provide informational output only. AI-generated responses are not financial, legal, or agronomic advice. You are solely responsible for decisions made using information from the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that results obtained will be accurate or reliable. Market prices, basis data, and crop insurance calculations are provided for informational purposes and may not reflect real-time conditions.

9. Limitation of Liability

To the fullest extent permitted by law, KernelAg shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

10. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the State of South Dakota, without regard to conflict of law principles.
